Legal · Updated November 1, 2026

Terms of Service

These terms govern your use of Croud — the website, web application, API, MCP server and related services — whether you join as a creator, an advertiser, or both.

1. Agreement

By creating an account or using the services you agree to these Terms of Service and our Privacy Policy. If you use Croud on behalf of an organization, you confirm you are authorized to bind that organization, and “you” refers to it. You must be at least 18 years old (or the age of majority where you live) to use Croud.

2. Accounts and workspaces

Your use of Croud is organized into workspaces. The workspace owner controls membership, roles, billing and connected accounts, and is responsible for activity by its members and API keys. Keep your credentials secure, enable two-factor authentication where possible, and tell us promptly at support@croud.ai if you suspect unauthorized access.

You must provide accurate information, including legal business details where we request them for verification, tax or payment purposes.

3. The marketplace

Croud connects advertisers who want to run sponsored content with creators who publish on Instagram. Croud is not a party to the creative or commercial relationship between a creator and an advertiser beyond facilitating matching, approval, publishing, escrow and payment as described here.

  • Campaigns are only offered to accounts whose ad policy they satisfy. Matching and ranking are automated and may change over time.
  • A placement becomes binding when the creator approves it (manually or under an approval rule they configured).
  • We may decline, pause or remove any campaign, creative or account that we reasonably believe violates these terms or applicable law.

4. Creator obligations

  • Only connect accounts you own or are authorized to manage, and keep your ad policy, rate card and posting windows accurate.
  • Publish approved placements as agreed (format, timing and duration) and do not alter or remove them before the agreed live period ends.
  • Disclose paid partnerships as required by law and platform rules. Croud adds disclosure labels automatically; you must not remove them.
  • Do not inflate engagement, purchase followers, or misrepresent audience data.

5. Advertiser obligations

  • You are responsible for your campaigns and creatives, including claims, offers, landing pages and compliance with advertising laws and regulations.
  • Do not advertise prohibited products or services, or restricted categories without required licenses and age targeting.
  • Respect creators' policies and decisions. Approval is at the creator's discretion.

6. Wallet, fees and payouts

Currency. All prices, budgets, wallet balances, fees and payouts on Croud are in one platform currency, currently USD. Workspaces cannot choose another currency, and we do not convert amounts.

Marketplace fees. Croud charges a marketplace fee on both sides of each booked post, at the rates of each party's plan shown on our pricing page. The advertiser fee is charged to the advertiser on top of the creator's price; the creator fee is deducted from the creator's earning. The rates in effect when a post is booked apply to it, even if either plan changes later.

Wallet and holds. Advertisers fund a workspace wallet in advance. Deposits are advertising credit for use on Croud: they cannot be withdrawn or paid out, and are refunded only where required by law. Campaign budgets are stated in creator prices, but the funds reserved for a campaign or placement, and every wallet check, include the advertiser fee. When a placement is approved, its price and advertiser fee are reserved; both are charged when the post is published. The creator's earning (the price less the creator fee) is released once the post has remained live for the agreed period. Reserved funds return to the wallet if a placement is rejected, canceled or expires before publishing.

Early removal. If a post is removed before its agreed live period ends, the creator keeps a share of their earning in proportion to the time it stayed live. The rest of what the advertiser paid, advertiser fee included, is refunded to the advertiser's wallet.

Disputes. Either party may report a problem with a booked post within 7 days after it was published, completed or removed. While a dispute is open the related earning is frozen. Croud reviews the evidence and decides the outcome: release the earning to the creator, refund the advertiser, or split the amount. Croud's decision is applied through the wallets and may reverse a creator's earning or charge the advertiser again for the share the creator keeps. Disputes not raised within the window are closed.

Payouts. Creators may request a payout of settled, withdrawable earnings once they reach the minimum payout ($50). Each request is reviewed by Croud and may be held while we verify identity, tax or payment details, investigate suspected fraud, or while a dispute or chargeback on the workspace is open. Approved payouts are paid through Stripe Connect or by the payout methods shown in the app. A creator may cancel a request while it is pending.

Chargebacks. If a card payment that funded a wallet is refunded or disputed with the card issuer, the amount is debited from the wallet and payouts from the workspace are held until the chargeback is resolved.

You are responsible for taxes on amounts you earn or pay. Wallet balances are not bank deposits and do not earn interest.

7. Subscriptions and billing

  • Plans. Workspaces can subscribe to paid plans with the limits and features shown on our pricing page.
  • Trials. Eligible first-time upgrades include a free trial. Unless you cancel before it ends, the subscription converts to a paid plan.
  • Renewal. Subscriptions renew automatically each month or year until canceled. You can cancel at any time; access continues to the end of the current period.
  • Failed payments. If a renewal payment fails, the plan stays active for a grace period of 7 days. A subscription that is still past due after it, or that lapses, is canceled or paused, falls back to the free plan, including its limits and marketplace fees.
  • Changes. Upgrades take effect immediately. After a downgrade, a workspace that exceeds the new plan's limits has 7 days to reduce its usage; after that, its newest campaigns are paused and its newest accounts unlisted until it fits.
  • Refunds. Fees are non-refundable except where required by law or expressly stated otherwise.
  • Promo codes. Codes are subject to their stated terms, may be limited in number and duration, and have no cash value.

8. AI features and credits

AI features generate suggestions such as captions, hashtags and scripts. Outputs may be inaccurate or similar to content generated for others; review them before use. Plans include a monthly AI credit allowance that resets each billing month; purchased, promotional and referral credits do not expire while your workspace is active but have no cash value. If you connect your own AI provider key, your use of that provider is also governed by its terms.

9. API, MCP and webhooks

Programmatic access is subject to plan limits, rate limits and the permissions of the key used. You are responsible for actions taken by your keys, including actions taken by AI agents you connect through the MCP server. Do not use the API to scrape, resell or build a competing marketplace.

10. Acceptable use

  • No unlawful, deceptive, hateful, harassing or sexually explicit content, and nothing that exploits minors.
  • No attempts to bypass the marketplace to avoid fees for deals originated on Croud during the relationship and for 12 months after.
  • No interference with the services, security testing without permission, or automated access outside the documented API.

11. Content and licenses

You keep ownership of content you upload. You grant Croud a worldwide, non-exclusive license to host, process and display it as needed to operate the services. Advertisers grant creators a license to publish approved creatives for the agreed placement, and creators grant advertisers the right to reference published placements in reporting. Any broader usage rights must be agreed between the parties.

12. Third-party platforms

Croud integrates with Instagram through Meta's APIs and with payment and AI providers. Your use of those platforms is governed by their terms. Croud is not affiliated with or endorsed by Meta, and we are not responsible for changes to or outages of third-party services.

13. Confidentiality and privacy

Each party will protect the other's non-public information with reasonable care. Our handling of personal data is described in the Privacy Policy. Where we process personal data on your behalf, our data processing terms apply.

14. Disclaimers

The services are provided “as is” and “as available”. To the maximum extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee campaign results, reach, engagement or earnings.

15. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Croud's total liability for any claim is limited to the fees you paid Croud in the 12 months before the event giving rise to the claim. Amounts held in your wallet or owed to you as earnings are not limited by this section.

16. Indemnification

You will defend and indemnify Croud against third-party claims arising from your content, campaigns, published posts, or violation of these terms or applicable law.

17. Suspension and termination

You may close your workspace at any time. We may suspend or terminate access for material breach, non-payment, legal risk or to protect the platform. On termination, settled earnings above the minimum payout remain payable (subject to open disputes and chargebacks), unused subscription fees and wallet credit are not refunded except where required by law, and pending placements are canceled with reserved funds released.

18. Changes to these terms

We may update these terms. For material changes we will notify workspace owners at least 30 days in advance. Continued use after the effective date means you accept the updated terms.

19. Governing law and disputes

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, unless applicable consumer law gives you the right to bring claims where you live.
